Adani Realty in Advanced Talks to Acquire Emaar India

Billionaire Gautam Adani's group is in advanced talks to acquire real estate company Emaar India for an enterprise value of around USD 1.4–1.5 billion as it looks to expand its property business. The transaction is one of the largest single acquisition bids in Adani Realty's push to consolidate its position among India's top-tier developers.

Deal Structure and Scale

At an estimated ₹13,000 crore, the deal talks are in an advanced stage and could see Adani Group take up to 100% stake in the Dubai-based developer Emaar Properties' Indian arm. If completed, the acquisition would represent a watershed moment for Adani Realty, which has grown aggressively over the past 14 years through a combination of greenfield launches and strategic acquisitions of distressed or underperforming assets.

Emaar India's Portfolio and Footprint

Emaar India has a large portfolio of residential and commercial spaces across Delhi-NCR, Mumbai, Mohali, Lucknow, Indore and Jaipur. The portfolio spans luxury apartments, villas, integrated townships, and commercial office spaces. Since its inception, Emaar India has delivered over 24,000 residential and commercial units across its projects, with approximately 4,000 units currently under development.

Gurgaon remains the company's primary market, where major Emaar India projects include Urban Ascent, Urban Oasis, DigiHomes, Palm Gardens, Marbella Villas, Serenity Hills, The Palm Drive, and Emaar The 88 across multiple residential sectors. In 2025, the developer launched high-impact projects including a ₹400 crore luxury housing project in Lucknow and a ₹1,600 crore development on Dwarka Expressway in Gurugram.

Emaar's Entry and Evolution in India

Dubai-based Emaar Properties entered the Indian real estate market in 2005 in partnership with India's MGF Development and invested Rs 8,500 crore through the joint venture firm Emaar MGF Land. In April 2016, Emaar Properties decided to end the joint venture through a demerger process. The restructuring created Emaar India as a standalone entity, allowing it to accelerate execution and launch a new generation of projects across northern and central Indian cities.

Adani Realty's Expansion Strategy

Emaar India is just one of the many reported acquisitions the 14-year-old Adani Realty has been pursuing to boost its business. Last year, the Adani Group's subsidiary Bridgeport Realtors got approval to acquire bankrupt property developer Radius Estates and Developers Private Ltd (Radius). The Adani Group has also announced purchases of a 30% stake in Gujarat-based construction company PSP Projects from its promoters for Rs 685 crore in November 2024.

In April 2025, the company announced a ₹10,000 crore integrated township near the upcoming Navi Mumbai International Airport in Panvel, marking its largest residential development to date. The company also unveiled plans for a ₹36,000 crore mixed-use redevelopment project at Motilal Nagar in Goregaon in collaboration with the Maharashtra Housing and Area Development Authority (MHADA).

Scaling for Institutional Competition

The unlisted property arm of Adani Group has a total project portfolio of 200 million sq. ft., of which around 23 million sq. ft. is developed and over 40 million sq. ft. is under construction. The firm's reported revenues as of March 2024 stand at Rs 6,000 crore, putting it in the list of developers like DLF Ltd, Prestige Group, Macrotech Developers, and Godrej Properties.

Large developers such as Adani Realty, Godrej Properties, Prestige Estates, Tata Housing, Mahindra Lifespaces, Sobha, Birla Estates, and Shapoorji Pallonji, which earlier focused mainly on their primary markets like Mumbai, Bengaluru, Pune, Hyderabad, and Ahmedabad, are now launching several projects in NCR. The Emaar India acquisition, if concluded, would substantially reinforce Adani Realty's presence in this high-growth region.

Strategic Significance

The timing of this transaction reflects broader consolidation in India's real estate sector, where institutional capital and operational scale are increasingly determining competitive advantage. For Adani Realty, the acquisition would add an existing portfolio of mature projects, trained development teams, and brand recognition in key northern Indian markets, reducing time-to-market on future launches while integrating valuable assets into the conglomerate's infrastructure and logistics ecosystem.
