Adani Airport City completes Portus Ventures acquisition

Adani Enterprises announced that its wholly owned step-down subsidiary, Adani Airport City has completed the acquisition of 100% of the equity share capital of Portus Ventures (PVPL) on 10 June 2026.

Strategic fit with Airport City expansion

Portus Ventures was incorporated in April 2024 and is yet to commence business operations. Portus Ventures Private Limited is engaged in activities related to real estate development, construction of buildings, hotels, motels, and resorts providing short-term lodging facilities.

The acquisition strengthens Adani Airport City Limited's mandate to develop mixed-use commercial ecosystems around major aviation hubs. By owning 100% of Portus Ventures, Adani Enterprises reduces third-party friction in developing its 'walkable business districts' near major hubs like Mumbai and Navi Mumbai.

Non-aeronautical revenue focus

The acquisition allows Adani Enterprises to gain 100% control over assets that facilitate 'Airport City' developments, focusing on high-margin retail, hospitality, and office spaces around its airport hubs. By consolidating city-side development entities like Portus Ventures, Adani improves the valuation profile of Adani Airport Holdings Ltd (AAHL) by increasing the share of non-aeronautical revenue, targeted at 70% by 2030.

Operational synergies are expected between Navi Mumbai International Airport and newly acquired land-holding entities. The upcoming Navi Mumbai International Airport is also being developed by the Adani Group.

Deal structure and timing

Adani Enterprises Limited announced that its subsidiary will acquire 100% of the equity share capital of Portus Ventures Private Limited (PVPL) for a cash consideration of INR 1.40 lakhs. The deal, requiring no regulatory approvals and not constituting a related party transaction, is set to be completed by June 17, 2026, with the aim of undertaking real estate and hospitality activities.

Adani's broader airport and real estate strategy

Adani Group operates Navi Mumbai International Airport, currently under construction, as well as multiple airport assets across India. Improved connectivity through the Mumbai Trans Harbour Link (Atal Setu), along with the upcoming Navi Mumbai International Airport (NMIA), has significantly boosted the area's appeal. The government's Third Mumbai plan—Karnala-Sai-Chirner New Town—also places Panvel at the centre of a new wave of urban expansion.

Adani Realty is preparing to roll out its most ambitious real estate venture to date — a township project next to the upcoming Navi Mumbai International Airport. The project will cover more than 1,000 acres, making it Adani's largest real estate development so far. The Panvel-based township will be nearly double the size of the group's 600-acre Dharavi redevelopment project in Mumbai. The Portus Ventures acquisition provides Adani with an operational platform to pursue hospitality and mixed-use projects near its airport infrastructure assets.
